If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
AdBudgetBuddy is a business-to-business (B2B) software-as-a-service (SaaS) platform designed for advertising agencies and advertisers to manage ad budgets across multiple advertising platforms. The Service includes features such as budget tracking, pacing alerts, multi-channel management, and reporting capabilities.
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.
The Service supports multi-tenant organizations. Organization administrators are responsible for managing user access and permissions within their organization.
The Service is offered on a subscription basis. Current pricing and features are available on our pricing page. We reserve the right to modify pricing with 30 days' notice.
We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires.
Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through our third-party payment processor. You authorize us to charge your designated payment method for all fees incurred.
Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
You agree not to use the Service to:
The Service, including all content, features, and functionality, is owned by AdBudgetBuddy and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
You retain all rights to the data you submit to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide the Service to you.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
The Service allows you to connect third-party advertising platform accounts (such as Google Ads, Meta Ads, TikTok Ads, LinkedIn Ads, and others) via OAuth or API credentials. By connecting an ad platform account, you authorize AdBudgetBuddy to access the account data necessary to provide budget tracking and reporting features.
When you connect an advertising platform, we access only the data required to deliver the Service, including:
We do not access or store ad creative content, audience data, customer lists, or conversion tracking data beyond what is necessary for budget management.
We process ad platform data solely to provide budget tracking, pacing alerts, and reporting features. We do not sell, share, or use your ad platform data for any purpose other than delivering the Service to you. All ad platform data is subject to the same security measures and data isolation described in these Terms.
You may disconnect any ad platform account at any time through your account settings. Upon disconnection, we will cease accessing new data from that platform. Historical data already imported may be retained in accordance with our data retention policies unless you request its deletion.
Your use of connected advertising platforms remains subject to those platforms' own terms of service and policies. AdBudgetBuddy is not responsible for changes to third-party APIs or access restrictions imposed by advertising platforms.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADBUDGETBUDDY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, be error-free, or that defects will be corrected. You use the Service at your own risk.
You agree to indemnify and hold harmless AdBudgetBuddy and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.
We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or if we determine that your continued use poses a risk to the Service or other users.
Upon termination, your right to use the Service will cease immediately. We will retain Your Data for a reasonable period to allow you to export it, after which we may delete it in accordance with our data retention policies.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdBudgetBuddy regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
